Wendy Kelley


Wendy Kelley is General Counsel & Corporate Secretary at KP Tissue Inc. with extensive experience working in senior legal positions at publicly listed international companies. She now specializes in advising boards, management and in-house counsel on legal and reputational risk management, compliance and corporate governance and how to implement processes and procedures to be compliant. She has extensive experience in analyzing, identifying and managing complex multi-faceted legal risks within a corporation and implementing legal risk, corporate governance and compliance protocols to enhance corporate value. The strategic use of arbitration, and alternative dispute resolution, for resolving business disputes is an element of a comprehensive and effective legal risk and compliance process.

Recently she was SVP, General Counsel of Biovail Corporation (now Valeant Pharmaceuticals) – Canada’s largest publicly traded pharmaceutical company (NYSE:TSX) where in addition to managing all of the normal legal affairs of a public company she oversaw the resolution of its severe legal and reputational issues. She was called upon to resolve the civil actions and civil and criminal regulatory investigations, in addition to implementing a compliance program and corporate governance protocols necessary to obtain settlement with U.S. and Canadian regulators. She was a member of the senior management team that developed a new strategic focus and fought two proxy contests. The company went on to raise money in the capital markets and later merge with Valeant Pharmaceuticals, where the stock tripled in value.

Prior to Biovail, Wendy was VP, Associate General Counsel & Chief Reputation Risk Officer for BMO Financial Group (NYSE:TSX). Wendy oversaw enterprise-wide corporate governance, regulatory relations, legal & reputational risk management and all securities litigation and regulatory issues. Throughout which she developed an expertise in advising on processes and procedures around legal risk, compliance and governance to mitigate legal risks.

Wendy began her career as a commercial litigator at Torys LLP and is a graduate of the Harvard Business School Advanced Management Program, Queen’s University Faculty of Law, and a member in good standing of the Law Society of Ontario and Saskatchewan.

She teaches “Corporate Remedies” at Osgoode Law School for the Business Law LLM, and is a frequent guest speaker at conferences and seminars on Corporate Governance, Reputational Risk, and litigation management.
